Using the upgrade option for the kernel rpms is bad idea. But hey I guess you
figured this out. 

Here's what I do to upgrade the kernel rpm's

1. get them all
2. uninstall the old src.rpm if installed\
3. uninstall the pcmcia rpm if you don't need it (ie no laptop)
4. use the -Uv (upgrade) option for the headers rpm
5. install the new kernel (rpm -ivh NOT rpm -Uvh) 
        this installs the new kernel, leaving the old
6. edit the /etc/lilo.conf file so it boots my new kernel
        label the new kernel different than the old
        leave the old kernel as a backup
7. run lilo (lilo -v)
        respond to any error (if any)
8. reboot

You should see the name (label) of the new kernel and it boots.

You could run the -Uvh option to upgrade the kernel but if you fail to edit
/etc/lilo.conf it's going to hurt, and if your new kernel fails it'll hurt as well.
Leaving the old one in as a back up is a good idea.

By the way, if you make a boot floppy you won't have to do a fresh install
every time you make a mistake. Open a xterm and run "man mkbootdisk", it'll
tell you how.
