This was going to be my last Q but decided to do Q1 last minute as I
didn't have time to work it out fully

Thinking about it last night I would imagine it was s.205 oppression/
disregard of members interests due to breach of duties and
additionally s.213(f) winding up on 'just and equitable grounds'

To be honest I don't think the rule in Foss comes into it at all due
to that relating to minority shareholdings and in this situation it
was 50/50
