The scenario was a shareholder annoyed because company stopped referring clients to him becuase they were getting better cross referrals with other companies. 6- Problem q- sandwich shop paid money to customer who found something in his sandwich filling- they wanted the supplier to give them back the money and the supplier disputed paying for it so the shop issued petition for winding up as it claimed they were unable to pay their debts- all falls in under s 214 e- where if there is a real dispute as to whether money is owed court wont let compulsory winding up as its an abuse of power. 7- if a liquidator threatens to have a director restricted- they are ok basically if they show they acted honestly and responsibly.
