I don't know if Makemusic has announced whether the 64-bit version will be a paid upgrade. I would not be surprised if it were, however.
I don't think you'll encounter any significant issues upgrading Fin09 files. The one caution I would mention is if you use any Adobe PS Type 1 fonts. If so, you may want to find OpenType equivalents (or make your own with something like TypeTool.) Personally, though, I would recommend setting up a virtual 10.7 or thereabouts using Fusion or Parallels, and keeping Fin09 alive that way. It sidesteps the entire upgrade issue.
