Ok, so far this is what I have done to get past the headache.  I have 
reinstalled eclipse and Flex 2.0.1.  (after looking for my license 
number ...what a search that was)

This is by far not a solution but a work around.  I have my old 
install of eclipse & co. to review the old vs. new.  If someone has 
an idea what could have trigger the cascade of failures, please give 
me a shout.
