Seems like the DIMMs are bad. Just for the heck have you tried disabling 
the RAM test (hold command-option while opening the Memory cp) to see if 
it will boot. And if it does, see if it is stable. And if it boots run 
some RAM tests (TTP, Gauge Pro, Dimm first Aid, etc etc).
