Problems with Panther upgrade

I have a B&W 350/G3 on which I have been attempting to install Panther, 
upgrading from Jaguar 10.2.8.  However, after repeated attempts to get 
the install disk to work, after pulling off my third part peripherals 
and so on I've had no luck.
I checked the firmware.  In attempting to update it I got the message 
that the firmware update was not needed for the computer.
Any suggestions out there?
