This does not look like an official GDAL utility shipped with GDAL/OGR
sources. Where did you get it?
It looks like Matt Perry's tool:

If this is the tool you are talking about, then just get it directly
from Matt's repository where all files are included.
Next time, please provide more details about where you got source code
you are experiencing problems about.
