Are you running APM?.
I have troubles with APM and realtime (keyboard events, alsa, clock, etc.) with old kernels (well, not so old 2.4.20) on my thinkpad so I switched to ACPI
I have APM support compiled into the kernel, but the only option I use is 'Use Realtime calls to BIOS to poweroff' or something like that.
