hopefully this isn't your problem, but this happened to me after an idiot ran 
a trojan on my system and ended up gibbling a great number of binaries.  i 
believe it was some sort of rootkit designed for redhat and had pretty much 
destroyed my system.

the reason /proc wouldn't mount in this case, was that /bin/mount was broken.  
maybe look into seeing if the binary is corrupted, and if so, try copying a 
working one onto the system?
