Yes it will. I would like to point out that the "needed" part is not exactly true, binaries compiled with pre-4.2 can run equally fast on Kepler especially if JIT compilation of PTX code is enabled. Moreover, current 4.2 pre-release compiler produces slower code than CUDA 4.0 not only for Fermi but also for Kepler.
