Something is wrong with permissions or something like that on your file system. Growl detects that the first time run has been completed with an indicator in the preferences file, and with a version check. Make sure you don't have more than one version of Growl installed as well with Growl Version Detective from http://growl.info/downloads just to make sure.
Go into ~/Library/Preferences/ and rename com.growl.growlhelperapp.plist and then launch Growl. Go through the welcome window. Once done, quit Growl, and relaunch Growl. See if the window shows up.
