I agree with Dawn - it does look like a derivative work. Years ago I wanted to market a needlework design based on a photo from the newspaper. I did talk to a copyright attorney about it. He said I couldn't without permission from the photographer. The example that he gave was the famous photo of the flag raising on Iwo Jima. The photographer owned the copyright on that image. No derivative work could legally be published/sold without his permission.
