I can tell you from experience, kick ass CPU & RAM are worthless without a at 
least as decent motherboard.

a gigabit nic will only really be beneficial if you have a gigabit network
to hookup to....

but yea, cpu and ram are king.
A simple video card is good enough so it doesn't take up any system ram.

if you plan to have multiple servers on one machine, a multi-core or
multi-processor set up would be nice to have.
