Ah, OK -- MLC to OTC. Making much more sense now -- thanks for helping me 
understand the issue. Some more general-case comments:

1. There were some products in the past -- Tivoli System Automation is an 
example, maybe? -- that announced OTC licensing after years of MLC. 
However, there was also the option for customers to stay with MLC as I 
recall. Doesn't hurt to ask if that's what you'd prefer to do.

2. You might look at those past cases to see what the conversion rate was 
(how many years of MLC).

3. After all that, use financing (e.g. IBM Global Financing) to keep 
payments level if you don't want to deal with a big lump sum. 
Understandably many businesses don't like getting hit with that big 
upfront charge.

I think I understand why OTC licensing is available for TSM and why 
there'd be a demand for such terms. That said, I hope the above 
information is useful.
