The problem with CEO compensation is twofold. It is not based on company performance as witnessed by Robert Nardelli at Home Depot who got a nice 210 million dollar going away present for performance so bad that investors lost money during his reign. Secondly, boards of directors, specifically the executive compensation committees are usually friends of the CEO and therefore are negligent in their fiduciary responsibilities to the shareholders.
