Does it have to be on the Imail server???  Or can it go on another server
with a share or something for access to the mail folders?

It is then a requirement to run asp.net on the Imail server there is no
longer a "built-in" web mail server.

Yes, the new Web Messaging will be part of the basic IMail server.  The
new web client is written in ASP.NET and runs under the .NET framework
in IIS.  The web Administrator is in ASP and runs under IIS as well.
