XP virtual machines are a cinch to make if you have the install media.
As far as distribution, when I worked for $bigcompany, we had a standard
internal XP vmware image, and our MS rep only required that we have a
license for each machine it ran on.
I'm not sure what the implications would have been for distributing
outside the company. Knowing MS, they'd have taken a pretty dim view of it.
