That's fixed, get the latest html.sty file from
http://www.cdc.informatik.tu-darmstadt.de/~latex2html/user/texinputs/html.sty
or add
\newcommand{\HTMLcode}[2][]{}
to the file as Mario did.

That's really nasty, this subroutine does exist in latex2html.
I don't know an instant fix, perhaps you first try to place the line
package main;
in front of html3_2.pl.
