Dave,
Brian gave an explanation in another email.  If shutting down does not work the 
next step is to search for and delete all files with an .ldb (lock data base) 
extension.

 From Microsoft:
 "Although .LDB files are typically removed when all users have closed the database, 
one or more .LDB files may occasionally be left behind. When this occurs, these files are 
safe to delete - they will be re-created the next time"

This file will prevent "another" instance of legacy from opening as it thinks 
it is already open.
