I'd format clean given that upgrading on a laptop is asking for trouble (in fact upgrading on ANY computer that isn't 100% clean is asking for trouble). I'd also get one of those hard drive converters to let you put the hard drive into a desktop. Partition the hard drive IN THE LAPTOP to make sure any quirks (such as hibernation) are taken care of (the newer Toshibas actually hibernate into a file anyway so that shouldn't matter) then put it into a desktop to copy all the install files and drivers across ... then back into the laptop and do the whole install from the hard drive.
