Diald and mgetty can coexist together.  I've done it.

You need to have mgetty tell diald to start up a ppp connection
on the tty port.  There is a script in the contrib area of 
diald (at least there used to be) that shows how to send diald
a fifo message telling it to use the port and start a ppp session.

So the incoming call needs to negotiate a login/password chat
sequence before starting PPP (I think).  You can then have
mgetty start the connect script, or have it be the shell for
the login.  The key is when the incoming call arrives, somehow
you need to tell diald, via the fifo, to start ppp on the tty.
