If I have understood your matter than you are trying to use the upstream 
proxy server of your ISP in your Apache Server.
If yes than define the upstream proxy server to use upstream proxy cache. 
This line should be above   "ProxyRequests On".
         eg. ProxyRemote * http://proxy.domain.com:80

3. Uncomment the "PoxyRequests On" line if you want to listen Apache as proxy.
         eg. ProxyRequests On
4. Uncomment the CacheRoot section to if you want to use the cache.

Note: You are not online with internet and if specified upstream proxy than 
never start the httpd service in boot time. Cause it will take a long time 
to start httpd service if it couldn't connect to upstream proxy.
