Dear Amit,
There is not problem in installing linux on 40 GB or even more GB.
But be sure to have the /boot partition within 1-1024 of cylinders.
u can achieve this by creating first /boot partion of 25-30 MB while
installing ..
what kind of prob during installation u r facing..??
it may be due to bad CD disk..as my exp.
otherwise u can give a try in text mode intsllation..in GUI inst it may
be due to unsupported video card , tell me ur VCARD & VRAM ?
