Did you install pcmcia-cs and recompile & install your pcmcia modules
for the new kernel... FWIW... :)

Recently, I upgraded to 2.4.9 on an otherwise pure Potato install. It
went without any mention-worthy hiccups. Did you read the file
Documentation/changes.txt? Do upgrade all packages mentioned there
manually, but do not bother about the rest. It is not necessary.

Are you using Debian's "kernel-package" package? It is...great, and
very simple to use; keeps the Debian package system in the loop as
you muck around with kernel versions, etc.

Is there anything interesting in any of the logs?

I would suggest you remove any modified kernel, install a original
kernel-image from Potato, and religiously follow the comments for
upgrade in 2.4.9/Documentation/Changes. And use kernel-package.
