Linux over W2K? Means what? You have existing W2K install and you are trying to 
install linux on same partition as that of W2K?

If you are installing linux on same  partition where W2K is installed, format 
it.. no variant of fdisk will ever crib. Of course I hope you understand what 
you are doing..
