Unfortunately I cannot offer much, as I have excactly the same problem, 
and has had it since I upgraded to kernel 2.1.*.  I found that kernel
2.1.96 is reasonably stable when it comes to PPPD, in that the problem
that you describe only occurs occasionally, and usually only on the
second connection attempt (I run demand dialing), the first which
is controlled by a fetchmail, works about 90% of the time, but 
usually the second attempt to dial out requires a reinit on the pppd
process, otherwise the same LCP negotiation problem appears.

However I cannot get it to work at all with 2.2.* (redhat 5.2, or 6.0),
all I ever get is virtually the same as you showed in your log segment,
the PPPD FAQ/HOWTO, suggests that it is the remote that has hungup,
and the modem is sending local echo's back to the pppd, but why would
this happen consistantly under 2.2.x, and not under 2.[01].x where it 
actually works quite reliable..  I was/am hoping that some guru
here is knows a fix for the situation.

My configuration for the modem is identical, (though I've not examined
things at a really low level yet), but booting to kernel 2.2.3/7
makes ppp fail.  booting to 2.1.96, ppp is reasonably reliable.  I really
would like to get this fixed, particularly since I'm considering the purchase
of a SMP motherboard, but I need the pppd to work, and SMP needs 2.2.x kernels
(sigh!).


Any way, another problem I have is that I have a dial in server I would like
to utilize, but it uses the Microsoft CBCP/MS80 extension to callback, does 
pppd on linux support this, are there any information on this (I've looked
in the relevant HOWTOs/ FAQs, and habe been unable to find anything related,
and am hoping someone here would have some information.
