If you're running devfs from 2.4.x, it doesn't need to be "upgraded" by
any package, it's maintained automagically by the kernel. If you're
running a traditional /dev (ie, a directory full of specials) then it
should be entirely safe to upgrade at any point, since it shouldn't do
anything other than mknod a few things. 

I wasn't aware of RH shipping with devfs, that's a rather bold move (and
not neccecarly in a good way. I like the ideas behind devfs, but I think
I'll be giving it another iteration before using it.. :) ) It's also one I
assume is handled by their packages, if it's not then RH should be spanked
for kludging it in.
