Would you please post the chipsets of your NIC and modem. Would you start from a fresh boot with both LAN and modem enabled and then post the output of the following commands; cat /proc/pci /sbin/lsmod cat /etc/modules.conf Also you might check your BIOS for an option relating to Plug-n-play operating systems. Try disabling that and let the kernel allocate interupts and memory. Your NIC might be getting it's interrupt from the BIOS while the kernel trys to allocate the same IRQ to the modem. Just some ideas and a fresh approach. Rob
