What are the exact error? I'm using 8139too under 2.4.21-pre2-xfs on RH9 without any problems.

Jul 1 09:04:57 proxy kernel: 8K byte-wide RAM 5:3 Rx:Tx split, autoselect/Autonegotiate interface. Jul 1 09:04:57 proxy kernel: eth2: Tx timeout - resetting Jul 1 09:04:57 proxy kernel: eth2: Tx timeout - resetting

the Tx timeout messages just run on and on ...

I've only ever seen these on wireless interfaces that loose their
connection. Seeing this on a perfectly good dmfe interface is bizarre. Works fine on the RH custom kernel (the one that has everything but what
I need compiled in).

Looks ike dmfe doesn't have a very good track record:
http://groups.google.com/groups?as_q=dmfe&as_epq=Tx%20timeout%20-%20resetting&safe=off&ie=UTF-8&oe=UTF-8&as_ugroup=*linux*&lr=lang_en&num=50&hl=en
I'd say that Redhat might have fixed something in dmfe, rather than broke something.
