It probably needs to be cloud-based, since the basic requirement is that the data can be synced between a Windows client and an Android client. I would prefer a flat license, rather than annual, but that's not a biggie. LDAP integration, central management of accounts, and auto-insertion of passwords are all nice-haves, not must-have.
