There is an icon in the downloaded Fusion disk image to upgrade from Fusion 3.
I think there's more to it than just running the app and copying it.

Hi Matthew,
I just copied the VMWare.app file from the DMG to my application folder and ran
it. I had to enter the licence key. I then used the file menu to open the
virtual machine I had previously used with Fusion 3. that opened a dialogue
asking if I wanted to upgrade that virtual machine to which I replied yes. I
then had to wait a while and eventually heard the Windows start up music.
Good luck with the upgrade.
