How are you checking the resulting PNG image?

Note that 24 bit is -depth 8 in IM.  -depth refers to the number of bits
PER COLOR not the total number of bits.

PNG8 is supposed to only output a PNG with a 256 color pallette.

You   try also adding a    -quantize grey -colors 256
just before the final save. It may be IM is trying to be over smart
and 'upgrading' the format (it shouldn't).

PS: version 6.3.0 is a bit old and this problem may have been fixed
already,  try the latest IM    6.3.5
