Thanks for the idea.  How do I tell if my Shapefile is an AV 3d file?  I'm unfamiliar 
with this type of file.  I suppose the creators should be able to tell me.

I had a similiar problem using AV 3d file. Using AV 2d copies of the files
Shapelink converted them OK
Could this be your problem ?

I am converting shape files to Mapinfo files using Shapelink version 1.1.
The conversion completes successfully and I am able to import into Mapinfo
(v4.0),  however when I ask for the projection of the layers, Mapinfo
reports that they are in an unknown projection.   Also, the projection
checking program proj.mbx does not display a projection for these converted
files.

I am confident of the original projection of the shape files, which are
Washington State Plane (South) in feet, with the HPGN datum.  I am using the
Washington State Plane South ( 1983 datum, feet ) projection for conversion
in Shapelink.

 Anyone run into this problem?  Any advice?
