Depends.  If the Linux box has to forward traffic to
privately addressed machines (10.x.x.x, 192.168.x.x, etc), 
then yes.

If both networks are routable numbers and you want to
use Linux as a pure router, then no, you can just use
IPFWADM or IPCHAINS to do the forwarding for you.
