No idea.  Probably still a question of files in use.
 
In any case, the v3.1 installer has been improved to support in-place
upgrades.

Actually, I am talking about uninstaller. To install 3.1 I uninstalled 3.06
and it asked me to reboot. 
What about uninstaller? Do you know why does it demand reboot rather than
prompt to close apps?

Personally I have never had it ask me for a reboot but I have seen the
installer ask me to close applications.
