Fred,
I recently posted a procedure approved by EDS (for a fee) for the
transfer to be legal. It was in a previous message but I will attach
it again in the event that you missed it.

New Policy from EDS:

I got this reply back from EDS about selling Smartcam, And the new
customer getting codes etc.

Normally, the process would be fairly straightforward. When a customer
purchases software from us it's based on contractual terms which gives
the customer the right to use the license's) in perpetuity, but the
ownership of the software is still ours. The customer does not have the
right to sell or transfer the software to another company without EDS
approval. A contractual change would be accomplished through our sales
organization - the company would be required to sign a contract with
EDS, and typically there would be an Administrative Fee ($600) for our
EDS Customer Service organization to make the changes in our Customer
Data Base (setup the new company, transfer the license's) to them,
provide new license codes).

What complicates your inquiry is the SmartCAM software is no longer
available for sale, there is no sales person or Reseller assigned to
your account, there is no support or updates provided for the software.
This means a lot of our contractual terms related to warranty,
maintenance and support is not applicable so this would require the new
company to acknowledge this.

So, if you want to pursue this, you'll need to provide your Install # so
that we can check it in the data base and identify someone to work with
you on these administrative details. Keep in mind that if we don't go
through some kind of formal process for the new company, when they
called in for security codes they would not be validated in the system,
so we would decline to provide the security codes.

Sorry about the complications, but that is where it stands with this
product line.
