2 additions.
1) If you want to upgrade win9x to something NT-based, WinXP is a good choice. 
There are fewer bugs than in w2k. I use some cygwin stuff on WinXP (including 
mspgcc, of course), and it works well.
2) Usually the main reason to use 'dos-based' windows is a large amount of 
programs (chip programmers, for example) which use direct access to COM or LPT 
ports. mspgcc toolchain is free of this restriction (thanks to 'giveio' 
library). There are many drivers (directIO, for example, through it isn't free) 
that allow DOS programs to use IO ports directly. So it shouldn't stop you from 
discarding that old OSes.
