There is a branch at http://repo.or.cz/w/git/mingw/4msysgit.git named
daemon that had a working git-daemon.  It's a bit out of date now and
I need to bring it back up to speed, but you could check that out to
start with.  Hopefully I can work on it this week because I think
there were some msysgit features added that I can use to bring it
closer to native git's daemon.
