Which OS's do you use? I think it's NT...
Could you provide more details?
Without details i can give you general tips only.

Try to regenerate default properties.
Then enter only license and try to connect.
Try to configure ND-service as logging on not from system account, but from user's.
(see Services-control panel)
There is some international issues. If your project is not english i can provide 
details.
Biggest change in nd4 is working with database fields. They all have types
(not simply CSpString).
Have you read techbriefs and release notes about migrating?
It's included in Docs-directory.

You know that IIS have many settings. Try to flip-flop with it
(anonymous account, directory access...) 
Try both ndCGI and NDISAPI connections.
