You shouldn't have any problems. Once you get your new hardware in, install it as a Windows 2000 server and run DCpromo on the server to make it a Domain Controller. Next move all the roles off the box you want to shut down to the new box. Remember you have at least 5 roles if you have a single domain. Make sure you account for all 5 roles. Finally run DCPromo on the box you hope to retire.
