Have you checked out the MS whitepapers on this? I browsed some last year and the MS method is to upgrade to W2K AD and then collapse the domain structure once everything is converted. AIR, this also relies on having W2K Pro workstations that support SID history.
Windows NT magazine (now Windows & .Net magazine) from February 1999 had a good article on renaming an NT domain. I used the methods in this article to succesfully rename my domain several years ago.
