The server in question is going to be the Hyper-V host- so it really wont have any software on it (other than the Hyper V).

However, I have done about 5 or 6 of the 2008R2-to-2012 in place upgrades, and all have gone extremely well. The whole upgrade process completes in under 2 hours. So long as the software on the server is compatible with 2012, you might want to consider an upgrade to save time…. Really up to you.
