The key works with either one.
But I would think twice about uninstalling 32-bit Office 2010 and installing 64-bit Office 2010. You need to think about the programs and add-ins that you are using or might use with Office 2010. A lot of them will not work with the 64-bit version. Nothing more frustrating than trying to determine why something won't work only to discover that the 64-bit version of Office is the reason. Even Microsoft recommends using the 32-bit version. Unless you really need the large memory capacity for Excel.
