Vista Ultimate can in-place upgrade any other version of Vista as long as the bits (32/64) are the same. It doesn't matter whether it's the full or upgrade edition that was purchased.
But as usual, precautions are in order and you should preserve an image of the existing load before starting on any upgrade.
