I use this in my general terms and conditions
1. Software Product licensing for Software Product written by Like
Magic Limited for the customer can negotiated on a case by cases basis. The
following applies in all cases.
1. The Software Product includes computer software, the associated
media, any printed materials, and any "online" or electronic documentation.
2. The Software Product is protected by copyright laws and
international copyright treaties, as well as other intellectual property
laws and treaties.
3. Limitations on Reverse Engineering, Decompilation and Disassembly.
You may not reverse engineer, decompile, or disassemble the Software
Product.
4. You may make a single back-up copy of the Software Product. You may
use the back-up copy solely for archival purposes.
5. All rights to the source code are retained by Like Magic Ltd.
I have also used where the source code is supplied to the customer, in
particular with PLC and other code used for industrial automation.
Software Product written by Like Magic Limited for XYZ Company of New
Zealand Limited is an unlimited licence for XYZ to modify and pass to third
parties as necessary in the normal course of maintaining their business.
Ownership of the source code is retained by Like Magic Ltd, who under take
not to disclose any details to competitors of XYZ, but have free use of the
source code in the normal course of maintaining their business.
How well this would stand up in court is another issue but it makes the
companies position clear to the customer.

A question -
Do any of you have experience with software licensing ?
I sell software into a niche market and it has been suggested that I provide
some sort of license for each copy of the software that I supply so that it
is clear that the ownership of the software remains with me - does anyone
have any suggestions or comment in this regard.
