Anthony: I agree -- partners only. Otherwise some
nitwit who just joined the list could claim we have to
get his vote.

Anthony: Since there are people involved, I think it
would have to be subjective.

Alain: An objective evaluation would be based on
criteria that we establish beforehand. If the
candidate passes all of our objective criteria-based
tests, then he automatically merits himself the engine
(without the assent of anyone at all). 

Anthony: Or would it be Scott's decision?

Alain: While Scott is quite open to just about
anything that is reasonable (non-restrictive), I
imagine that he might want to have a say in this
matter. This doesn't resolve the objective versus
subjective issue, however. (e.g. who will set the
criteria to evaluate a candidate's merit?)

Anthony: Good question. Let it be unamity of partners,
majority of associates.

Alain: Almost perfect. I would say: Let it be
unanimity of partners for decisions relating to the
partnership, and the majority* of associates and
partners on all issues not relating to the
partnership.

Alain: * with provisions for avoiding the pitfalls of
a strict majority-rule.
