It looks like the references weren't added correctly, to include the dll's full identifier (include the public key token). When you add a reference to the publishing, visual studio adds a reference to the search dll. Maybe that reference didn't get added to get the dll from the GAC. I would focus on that.

Re-Installation may not help. What version of .NET are you developing against? I created a simple web project in visual studio and reference Microsoft.SharePoint.Publishing. But when I run the applicaiton I got "System.BadImageFormatException: Could not load file or assembly 'Microsoft.Office.Server.Search, Version=12.0.0.0". I tried all different setting of the Platform Target but still gets error. The IIS is version 6, and works fine in console application. Anyone has same problem?
