Ken, Does the server have all SharePoint roles installed? ie. is it the only server in your farm and have SQL Server running?
I would setup SharePoint on the new server, and then restore your content DBs from the source server to the new server. You then need to make sure you've deployed all customisations, .WSPs and other 12 folder files and run through other configuration steps such as installing iFilters and reconfiguring your SSP etc. The process can vary quite a bit depending on customisations deployed and how much you've configured your SSP. Then create web apps as per the source server and hook them up with the restored DBs and switch your DNS to point to the sites on your new server. Sezai.
