First : Thanks for the response,
Now,
I have downloaded the Windows Patch for the CodeWarrior version 3.1
release 0135 from the Palm's site,
I install the patches in the following order...
1) Palm OS 3.5 SDK for CodeWarrior.exe
>> the SDK update
2) CW_Palm_R5_Update.exe
>> the Codewarrior Update
3) PalmOSR5_68KCCompiler_Updat.exe
>> the Compiler update which fixes the division error in the previous
patch
But when I create a project using the 3.5 stationary, then the IDE
gives an error that the project was made using
a newer version of CodeWarrior, and that's all. It just won't open the
project.
Am I doing something wrong here...

A 'few letters ago' David Fedor answered to similar question of mine:
